TerraClose is run by Debbie Does Deals LLC, a Wyoming company. This is the same Terms of Service people accept when they first sign in.
TerraClose: Terms of Service
Version 12
These terms are between Debbie Does Deals LLC, a Wyoming limited liability company and the company formed for TerraClose itself, together with its owners and related companies, including Hardwired Collective LLC, Honeybird Consulting LLC and Honeybird Homes LLC, each also a Wyoming limited liability company (together "Honeybird", "we", "us"), and the person using TerraClose ("you"). Debbie Does Deals LLC bills for TerraClose. Hardwired Collective LLC sends its text messages for now.
1. What the deal desk is. The deal desk (TerraClose, at app.terraclose.com) is Honeybird's software for adding, analyzing and working real estate deals. It may also be offered under another name, such as PropTrix; these terms cover it under any name. It is in beta testing. We may change, pause or end any part of it at any time.
2. Your login. Your login is for you only. Keep it to yourself and tell us right away if you think someone else used it. You are responsible for what happens under your login.
3. Your data. Everything you bring into the deal desk (houses you add, notes, numbers, offers, files, photos, leads, contacts, and anything else you type or upload) is "Your Data." You own it. We do not sell it. You grant Honeybird, its related companies and the companies that help us run the deal desk a worldwide, royalty-free, fully paid, perpetual, irrevocable, non-exclusive and sublicensable license to use, copy, store, analyze, modify, combine and make new works from Your Data, including:
- (a) to run the deal desk for you (store it, look up and analyze your houses, show it to you, keep it safe);
- (b) to help you with something you asked us to help with (support);
- (c) to run, secure, check and improve the deal desk and its AI and to build new features and products, alone or combined with other users' data: the small team that runs it may look at Your Data for that, including a single house, its photos and its AI results, and we look at how the tools get used (which pages and how often) to learn what to build and what to charge;
- (d) for what you choose to send or share with us (section 4), and for what you add to a house we share with you, and only for that;
- (e) if you connect an email or messaging account on the Connections page, to bring the deals in it to your desk automatically and to keep a record of who sends deals there (senders and suppliers). That record belongs to Honeybird. We use it to keep deal intake accurate, and we may use it to grow our own deal intake, inventory and relationships, for example by connecting with those senders directly. It never includes your private deal details.
- (f) in pooled form, after taking out anything that points to you, a person or a specific house, for any lawful business purpose, including publishing market numbers, helping Honeybird and its related companies run their businesses, and sharing with partners.
Deleting Your Data (section 8) removes your copy from the deal desk; it does not undo what the deal desk has already learned from it, pooled data, or deals you sent or shared with us. Using Your Data under this license never means working, buying or marketing a house you have not sent us.
We may monitor, record and review how the deal desk is used, including recordings of your sessions (what was on the screen and what you did), to run, secure, test and improve it. You consent to this monitoring. Passwords and sign-in codes are blanked from recordings. You confirm you have the right to bring in Your Data (including other people's names and contact details) and to let us use it this way.
Our Privacy Policy explains this in full. If you are on Honeybird's own team, the houses and work you put on the deal desk are Honeybird's, and sections 3, 4 and 8 do not apply to them.
4. Your houses stay private. A house you add is private to you. Other users never see it, and Honeybird's deal team does not work it. It goes to Honeybird only when you press one of its two buttons: Honeybird Review, which asks Honeybird to take a look, or JV Submission, which sends it to Honeybird as a joint venture deal. Nobody at Honeybird acts on a house you add unless you press one of those buttons. What you do on your houses (notes, offers, passes, photos) is never posted to Honeybird's team channels.
The public facts about a property (its address, public records, listing photos) are the same for everyone who looks it up. What is yours is what you add to it.
If you work with us as a JV partner on My deals, these switches in your settings also apply. Each is off until it is turned on:
- Testing: we may look at your deals, read only, to test and improve the deal desk. We do not work them or contact anyone about them.
- Analysis: we work every deal you add the same way as a deal you shared: lookups, comps and underwriting.
- Dispo: we may show your shared deals to our buyers.
We turn a switch on for you only with your clear permission (your own switch, or your written OK that we keep on record). You can turn any switch off at any time. A deal you already sent or shared stays with us, because we may already be working it.
5. Deals you send us. A deal you send to us by email, text, our JV form, or the Honeybird Review or JV Submission button is sent so we can work it. It is shared with Honeybird from the moment you send it. The same goes for a house you ask us to help with. Working a deal can include analyzing it, making offers, showing it to our buyers and JV partners, and sharing it with lenders, title and anyone else the deal needs. If you want limits, tell us when you send it or put them in a signed agreement. Any separate signed agreement between us (for example a JV agreement) governs those deals.
6. Our side. The deal desk, its software, screens, numbers, methods and everything we show you belong to Honeybird. The Confidentiality and Non-Use Agreement you signed covers how you treat it. It does not stop you from doing your own deals with Your Data. Records of how the deal desk gets used, pooled data, and what the deal desk produces (values, comps, repair ranges, scores and other numbers) also belong to Honeybird. You may use what it produces for your own deals. Ideas and feedback you send us (for example with the Feedback button) are ours to use for anything, without paying you or giving you credit. We will not publish your name or your private deals with them without your OK.
7. Fair use. You will not use the deal desk to break the law, to send anything unlawful or harmful, to get into anyone else's data, or to overload or attack it.
8. Getting your data out, and deleting it. You can download Your Data at any time with Download my data on the Your data page (linked at the bottom of every page; on My deals it is on the Sharing with Honeybird card). It is one file with the houses you added, your notes, your offers, passes and other steps you took, and the deals you sent us. Photos, videos and documents you uploaded stay on each house's page, where you can open and save them. You can ask us to delete all of Your Data with the button on the same page. We do it within 30 days of your ask, except for what the law requires us to keep; what we need for our records, billing, security or a dispute; deals you sent or shared with us, which we may already be working; pooled data, which no longer points to you; and copies in our backups, which clear out on their normal schedule. If your access has ended, email admin@honeybirdhomes.com and we send the file, delete Your Data, or both, within 30 days of your ask. We keep Your Data at least 30 days after your access ends so you can ask; after that we may delete it.
9. Paying for the deal desk. If you pay for the deal desk (for example as a beta user), the price, the credits, billing and canceling are set by the agreement you accepted when you paid. If that agreement and these terms disagree on those points, that agreement wins.
10. Ending access. You can stop using the deal desk at any time. We can end your access at any time. Sections 3, 6, 8, 11, 12 and 13 still apply after access ends.
11. No promises. The deal desk is provided "as is." Its numbers, values, comps and estimates are tools, not advice or appraisals, and may be wrong. Check anything before you rely on it. Nothing in it promises any deal, profit or outcome.
12. Limit on what we owe. To the extent the law allows, Honeybird is not responsible for lost profits or indirect losses from using the deal desk. For anything else, the most we owe is what you paid us for the deal desk in the three months before it happened, or $100 if you paid nothing.
13. General terms. Arizona law governs these terms. Any dispute will be heard in the state or federal courts in Maricopa County, Arizona. If any part cannot be enforced, the rest still applies. When we change these terms, we put the new version in front of you to accept before you can keep using the deal desk.
14. Accepting electronically. Checking "I agree" at sign-in is your acceptance and has the same effect as signing on paper. We keep a record of who accepted, when, and the exact version.
15. Text messages. If you give us your mobile number and tick the box agreeing to texts (on terraclose.com, in a TerraClose sign-up form, or inside TerraClose), TerraClose texts you about your account and sign-in, the beta (invites, walkthrough reminders and product updates), and deal alerts you turn on. Message frequency varies. Msg and data rates may apply. Reply STOP to stop at any time, and HELP for help, or email admin@honeybirdhomes.com. Agreeing to texts is never a condition of buying anything. Mobile numbers and text messaging consent are never sold or shared with third parties or affiliates for their marketing.
